Use of our services signifies agreement to our terms and service
Privacy Policy
These Terms & Conditions govern the use of the website knowk-tech.com and the provision of web design, web development, customization, optimization, and search engine optimization (SEO) services by KnowK, a web design and development agency operating from Amborkhana, Sylhet, Bangladesh.
KnowK serves clients located in Bangladesh and internationally. These Terms are written to give international clients clarity and confidence about payments, deliverables, intellectual property, and dispute resolution before engaging our Services. By visiting the Site, submitting an inquiry, or engaging KnowK for a project, you (“the Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use the Site or engage our Services.
1. Definitions
- “Agreement” means these Terms together with any signed proposal, quotation, scope of work (SOW), or invoice issued for a specific project.
- “Deliverables” means the websites, designs, code, content, or other materials produced by KnowK for the Client under an Agreement.
- “Project” means a defined body of work (e.g., a new website build, a redesign, an optimization engagement, or an SEO engagement) agreed between KnowK and the Client.
- “Third-Party Services” means software, plugins, themes, hosting providers, domain registrars, payment processors, or other tools not created by KnowK but used in or with a Project.
2. Services Provided
- KnowK provides the following categories of Services, the precise scope of which will be defined in a written proposal, quotation, or SOW for each Project:
- Web design — planning and creating the visual layout, structure, and style of a website.
- Web development — building functional websites based on agreed designs and requirements.
- Customization — tailoring an existing site’s design, layout, features, or content to a specific brand or need.
- Optimization — improving website speed and performance.
- Search engine optimization (SEO) — improving a website’s visibility in search engine results.
- No Service is provided until the scope, timeline, and fees for that specific Project have been confirmed in writing (including by email) between KnowK and the Client. General descriptions of our Services on the Site are illustrative and do not themselves constitute a binding offer.
3. Quotations, Proposals, and Project Scope
- All quotations and proposals issued by KnowK are valid for thirty (30) days from the date of issue unless otherwise stated.
- A Project formally begins only once the Client has approved the proposal/SOW in writing and, where applicable, paid the agreed deposit.
Any request to add features, pages, revisions, or functionality beyond the agreed scope (“Scope Changes”) will be quoted separately and may affect the Project timeline and total fees. KnowK will notify the Client of any cost or timeline impact before carrying out Scope Changes. - The Client is responsible for providing complete and accurate content, branding materials, credentials, and feedback promptly. Delays caused by the Client in providing such materials may extend the delivery timeline accordingly.
4. Fees and Payment
- Currency and Pricing
Unless otherwise agreed in writing, fees are quoted and invoiced in United States Dollars (USD) to accommodate our international client base. Fees specific to a Project will be set out in the relevant proposal or invoice. - Accepted Payment Methods
KnowK accepts payment via PayPal, Payoneer, and major debit/credit cards through the payment links or invoices we provide. We do not accept cash payments for international engagements. The Client is responsible for any fees charged by their bank, card issuer, or payment provider in connection with currency conversion or international transfers. - Deposits and Milestones
For most Projects, KnowK requires an upfront deposit (typically 30–50% of the total Project fee) before work begins, with the balance due according to milestones or upon completion, as specified in the proposal or invoice. Work will not commence, and Deliverables will not be released or published, until payment obligations for the corresponding stage have been met. - Late Payment
If an invoice is not paid by its due date, KnowK reserves the right to pause work on the Project, withhold Deliverables (including source files, hosting access, or domain transfers), and/or apply a late payment charge of up to 5% of the overdue amount per month, where permitted by applicable law, until payment is received in full. - Taxes
Fees are exclusive of any applicable taxes, duties, or withholding obligations in the Client’s jurisdiction unless stated otherwise. The Client is responsible for any such taxes other than taxes on KnowK’s net income in Bangladesh.
5. Refunds and Cancellations
Because each Project is tailored to the Client’s specific requirements, refund eligibility depends on the stage of work reached:
Before work begins: if the Client cancels before KnowK has started any design or development work on the Project, the deposit paid (less any payment processing fees already incurred by KnowK) is refundable.
After work has begun: amounts paid for work already performed, and for any third-party costs already incurred on the Client’s behalf (e.g., licenses, stock assets, or hosting purchased for the Project), are non-refundable. Where milestone payments are used, KnowK will refund the portion of any paid milestone that corresponds to work not yet performed, at KnowK’s reasonable assessment.
Completed and delivered Projects: once final Deliverables have been approved and delivered to the Client, fees for that Project are non-refundable.
Cancellation requests must be submitted in writing to the email address in Section 14. KnowK will confirm any applicable refund amount within ten (10) business days of receiving a cancellation request.
6. Project Timelines and Delays
Estimated delivery timelines will be provided in the proposal or SOW. Timelines are estimates, not guarantees, and may be affected by factors including the complexity of the Project, the responsiveness of the Client in providing materials and feedback, the number of revision rounds requested, and issues arising from Third-Party Services outside KnowK’s control. KnowK will communicate promptly with the Client if a material delay is anticipated.
7. Revisions and Approvals
Each Project includes a defined number of revision rounds, as specified in the proposal or SOW. Revisions requested beyond that number, or substantial changes requested after a design or development stage has already been approved by the Client, may be treated as a Scope Change under Section 3 and quoted separately. The Client’s written approval (including by email) of a design mockup, staging site, or final Deliverable will be treated as acceptance of that stage of the Project.
8. Intellectual Property
Ownership Upon Full Payment
Upon receipt of full and final payment for a Project, KnowK assigns to the Client all rights, title, and interest in the final Deliverables created specifically for that Project (such as the final website design, custom code written by KnowK, and custom graphics created by KnowK), excluding any Pre-Existing Materials and Third-Party Materials described below.
Pre-Existing and Third-Party Materials
Deliverables may incorporate Pre-Existing Materials — tools, frameworks, code snippets, design components, or templates that KnowK has developed independently of the Project and may reuse across multiple clients — as well as Third-Party Materials such as stock photography, fonts, plugins, themes, or licensed software. KnowK grants the Client a license to use such Pre-Existing Materials as incorporated into the Deliverables for the life of the Project website. Third-Party Materials remain subject to their own license terms, and the Client is responsible for maintaining any ongoing license or subscription fees associated with them after handover.
Portfolio Rights
Unless the Client requests confidentiality in writing and KnowK agrees, KnowK retains the right to display completed Projects, including screenshots and descriptions of the work, in its portfolio, on the Site, on social media, and in other marketing materials.
Client-Supplied Materials
The Client retains ownership of all logos, content, images, trademarks, and other materials it supplies to KnowK (“Client Materials”) and warrants that it holds all necessary rights and licenses to provide such materials to KnowK for use in the Project. The Client agrees to indemnify KnowK against any claim arising from KnowK’s use of Client Materials as instructed by the Client.
9. Hosting, Domains, and Third-Party Services
Where a Project involves hosting, domain registration, or other Third-Party Services purchased or set up on the Client’s behalf, the Client is responsible for the ongoing costs, renewal, and account management of those services unless a separate maintenance agreement is in place with KnowK. KnowK is not responsible for outages, data loss, security incidents, price changes, or policy changes caused by third-party providers (such as hosting companies, domain registrars, plugin developers, or payment gateways).
10. Warranty and Post-Launch Support
KnowK warrants that, for thirty (30) days following final delivery (the “Warranty Period”), it will correct, at no additional charge, any material defect in the Deliverables that causes them to function differently from what was agreed in the approved scope, provided the defect is not caused by Client edits, third-party plugin updates, hosting changes, or factors outside KnowK’s control. Support, maintenance, content updates, and feature additions requested after the Warranty Period, or that fall outside the original scope, are available under a separate maintenance agreement or hourly rate.
11. Disclaimers and Limitation of Liability
THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. KNOWK MAKES NO WARRANTY THAT THE WEBSITE WILL BE ERROR-FREE, ACHIEVE ANY SPECIFIC SEARCH ENGINE RANKING, GENERATE ANY SPECIFIC AMOUNT OF TRAFFIC OR REVENUE, OR BE FREE FROM VULNERABILITIES INTRODUCED BY THIRD-PARTY SOFTWARE.
To the maximum extent permitted by applicable law, KnowK’s total liability arising out of or relating to a Project, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Client to KnowK for that specific Project in the twelve (12) months preceding the claim. KnowK shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under the laws applicable to the Client, including, where applicable, liability for death, personal injury, or fraud.
12. Confidentiality
Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with a Project, and to use such information only for the purposes of performing the Agreement, except where disclosure is required by law.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the People’s Republic of Bangladesh, without regard to its conflict-of-laws principles, except where mandatory consumer-protection laws of the Client’s home country grant the Client additional rights that cannot be waived.
KnowK and the Client agree to first attempt to resolve any dispute arising from these Terms or a Project through good-faith negotiation. If a dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through the courts of Sylhet, Bangladesh, or, where both parties agree in writing, through online or remote mediation/arbitration to accommodate the international location of the Client.
For international clients, KnowK encourages raising concerns directly first (see Section 14) so that most issues can be resolved quickly without the need for formal proceedings.
14. Communication and Contact
All formal notices, approvals, and cancellation requests under these Terms should be sent in writing to the contact details below. KnowK aims to respond to client communications within two (2) business days.

15. Changes to These Terms
KnowK may update these Terms from time to time to reflect changes in our Services, payment methods, or legal requirements. The “Effective Date” at the top of this document indicates when it was last revised. Material changes will be posted on the Site, and continued use of the Site or engagement of new Services after such changes constitutes acceptance of the updated Terms. Changes will not retroactively affect the terms of a Project already agreed in writing.
16. Miscellaneous
Entire Agreement: These Terms, together with any signed proposal/SOW and invoice, constitute the entire agreement between KnowK and the Client for a Project, superseding any prior discussions or representations.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
Assignment: The Client may not assign or transfer its rights under an Agreement without KnowK’s prior written consent.
No Waiver: KnowK’s failure to enforce any provision of these Terms is not a waiver of its right to do so later.
